CERTIFIED AUTOMATED PLANNING & DESIGN PARTNER PROGRAM ADDENDUM 

COMSOF FIBER  

This Certified Automated Planning & Design Partner Program Addendum (the “Addendum”) shall be added to and form an integral part of the Order Form between IQGeo and Customer in which this Addendum is referenced as being applicable. The additional terms and conditions set forth in this Addendum and the general terms and conditions available on the website, as referenced in the applicable Order, including all Schedules attached to it, shall govern the provision of Certified Automated Planning & Design Services under the Certified Automated Planning & Design Partner Program.  

1. CERTIFIED AUTOMATED PLANNING & DESIGN SERVICES 

1.1. This Addendum intends to establish a framework for collaboration between IQGeo and the Customer in a mutually agreed manner which may help both Parties to leverage their expertise and expand their offerings to potential Customers. In this Addendum Parties agree on the rights and privileges of Certified Automated Planning & Design Partners and terms and conditions on which Customer may present itself as an IQGeo Certified Automated Planning & Design Partner. 

2. RIGHTS AND CONDITIONS OF BECOMING CERTIFIED AUTOMATED PLANNING & DESIGN PARTNER 

2.1. Conditions. To be recognized as an IQGeo Certified Automated Planning & Design Partner, the Customer shall (i) employ at least two (2) engineers that have obtained Comsof Fiber Certification and (ii) have an active Standard Subscription on Comsof Fiber (conditions (i) and (ii) together hereinafter “the Conditions”). An individual may obtain Comsof Fiber Certification by following the Comsof Fiber Certification Program and succeeding the Comsof Fiber Certification test. In case the Conditions mentioned in this Article 2.1 are no longer fulfilled the Customer shall lose the status of Certified Automated Planning & Design Partner and the corresponding rights and privileges as mentioned in Article 2.2 here below. Should this be the case during the term of this Agreement, the Customer may apply to reenter the Certified Automated Planning & Design Partner Program as soon as it is again compliant with the Conditions. Customer is obliged to inform IQGeo in case one of its Comsof Fiber certified Designers is no longer employed by the Customer. 

2.2. Rights and Privileges. Subject to compliance with the Conditions, IQGeo grants Customer a nonexclusive, nontransferable, limited license to present itself as an “IQGeo Certified Automated Planning & Design Partner” and use the IQGeo trademarks, only in connection with the marketing, promotion, and advertising of Customer’s solutions based on the Subscription Services. The Certification serves as a label of guaranteed quality and trust in the Certified Automated Planning & Design Partner. As such, a Certified Automated Planning & Design Partner is also permitted to create a reciprocal web link from it’s website to IQGeo’s website. All use of the IQGeo trademarks, and all goodwill associated to it will inure only to the benefit of IQGeo. IQGeo will actively promote Certified Automated Planning & Design Partners online (on its website), and may do the same in webinars, in company presentations, or other promotional materials. Additionally, where relevant, IQGeo may choose to promote Certified Automated Planning & Design Partners in physical marketing materials, on handouts, flyers, banners, etc., at conferences or other local industry events.
