CERTIFIED IMPLEMENTATION PARTNER PROGRAM ADDENDUM 

IQGEO NETWORK MANAGER TELECOM AND WORKFLOW MANAGER

This Certified Implementation Partner Program Addendum (the “Addendum”) shall be added to the Order Form prepared by IQGeo for Customer (the “Implementation Partner”), in which this Addendum is referenced as being applicable. The additional terms and conditions set forth in this Addendum, in addition to the general terms and conditions available on the IQGeo website, as referenced in the applicable Order, including all Schedules attached to it, shall govern the terms and conditions of becoming and remaining an IQGeo Certified Implementation Partner.  

1. CERTIFIED IMPLEMENTATION SERVICES 

1.1 This Addendum intends to establish a framework for collaboration between IQGeo and the Implementation Partner in a mutually agreed manner which may help both Parties to leverage their expertise and expand their offerings to potential Customers. In this Addendum Parties agree on the rights and privileges of becoming an IQGeo Certified Implementation Partner and terms and conditions on which the Implementation Partner may present itself as an IQGeo Certified Implementation Partner. 

2. RIGHTS AND CONDITIONS OF BECOMING AN IQGEO CERTIFIED IMPLEMENTATION PARTNER 

2.1. Conditions. To be recognized as an IQGeo Certified Implementation Partner the Implementation Partner must: 

2.1.1. Have an active subscription to Network Manager Telecom Enterprise Edition and Workflow Manager software, with a minimum of 5 Named Users each (the “Subscription Services);  

2.1.2. Attend the following training on an annual basis, subject to availability:  

• Network Manager Telecom: User, Administrator, Configuration and Sales Training; 

• Workflow Manager: User, Administrator and Configuration Training; 

• Network Manager Telecom: API Training. 

The training will be provided by IQGeo or its training partner of choice and is included in the Implementation Partner Package Fee as quoted in the Order Form. The training will be offered online for 5 trainees and needs to be taken in a logical order as advised by and scheduled with the IQGeo Training Team. Any training offered pursuant to this Section 2.1.2 is subject to availability and is provided without any warranties, including but not limited to warranties of fitness for a particular purpose or merchantability.  

2.1.3. In case the conditions mentioned in Article 2.1.1 and Article 2.1.2 (hereinafter the “Conditions”) are no longer fulfilled, the Implementation Partner shall lose the status of IQGeo Certified Implementation Partner and the corresponding rights and privileges as mentioned in Article 2.2 here below. Should this be the case during the term of the subscription term as defined in the Order, the Implementation Partner may apply to reenter the Certified Implementation Partner Program as soon as it is again compliant with the Conditions. The Implementation Partner is obliged to inform IQGeo in case one of its trained employees is no longer employed by the Implementation Partner. 

2.2. Rights and Privileges. Subject to compliance with the Conditions, IQGeo grants the Implementation Parter a nonexclusive, nontransferable, limited license to present itself as an “IQGeo Certified Implementation Partner” and use the IQGeo trademarks, only in connection with the marketing, promotion, and advertising of Implementation Partner’s solutions based on the Subscription Services. The status of IQGeo Certified Implementation Partner serves as a label of guaranteed quality and trust in the Implementation Partner. As such the IQGeo Implementation Partner is also permitted to create a reciprocal web link from it’s website to IQGeo’s website. All use of the IQGeo trademarks, and all goodwill associated to it will inure only to the benefit of IQGeo. IQGeo will actively promote IQGeo Certified Implementation Partners online (on its website), and may do the same in webinars, in company presentations, or other promotional materials. Additionally, where relevant, IQGeo may choose to promote IQGeo Certified Implementation Partners in physical marketing materials, on handouts, flyers, banners, etc., at conferences or other local industry events.
